The proposed 84p cash bid for Inspecs Group by the Luke Johnson/Ian Livingstone-led consortium (via Bidco 1125) has taken one final, decisive twist. Originally structured as a Scheme of Arrangement announced in December 2025 (valuing the Bath-based business at £85.4m), the deal looked vulnerable when Italian rival Safilo built a blocking 25% stake shortly after - enough to thwart the scheme’s 75% approval threshold. The market reacted by pulling the shares back below the bid price. But Bidco turned the situation to its advantage. On 6 February, it bought 19.4m shares at 75p (including 3.4m from Downing), lifting its direct holding to 19.1%. Combined with irrevocable undertakings of 31.9% Bidco had 51% of voting rights.
